Terms of Service & EULA

1. Agreement to Terms

By purchasing, receiving, or using a NeoTrade AI Box and its associated software (“the Product”), you agree to be bound by these Terms of Service and End User License Agreement (“Terms”) between you and NeotradeAI LLC (“Company,” “we,” “us,” or “our”). If you do not agree to these Terms, do not use the Product.

2. Software License Grant

Subject to these Terms, NeotradeAI LLC grants you a non-exclusive, non-transferable, non-sublicensable, revocable license to use the NeoTrade AI software solely on the NeoTrade AI Box hardware you purchased. The software is licensed, not sold. This license does not permit you to:

• Transfer, resell, or sublicense the software to any third party
• Install the software on hardware other than your purchased NeoTrade AI Box
• Reverse engineer, decompile, or disassemble the software
• Use the software for unlawful purposes or in violation of applicable regulations

3. No Financial Advice

NeotradeAI LLC is not a registered investment advisor, broker-dealer, commodity trading advisor, or financial institution. The NeoTrade AI Box and its agents provide automated analysis tools for informational purposes only. Nothing produced by the Product constitutes financial advice, investment advice, or a recommendation to buy, sell, or hold any asset. All trading decisions are made solely at your discretion and risk.

4. Risk Acknowledgment

You acknowledge that cryptocurrency and digital asset trading involves substantial risk of loss, including the possible loss of your entire invested capital. You represent that you understand these risks and are financially able to bear potential losses. Past performance of any trading strategy does not guarantee future results.

5. Hardware Warranty

The NeoTrade AI Box hardware is covered by a limited warranty against manufacturing defects for one (1) year from the date of delivery. This warranty does not cover: damage from misuse or modification; damage from power surges or improper electrical supply; use outside of intended operating conditions; normal wear and tear; or cosmetic damage. GPU and RAM components are subject to their respective manufacturer warranties. NeotradeAI LLC is not responsible for data loss, lost trading profits, or consequential damages arising from hardware failure.

6. Software Updates

NeotradeAI LLC reserves the right to update, modify, or discontinue software features and agent configurations at any time. Updates may change agent behavior, capabilities, or supported exchanges. We will make reasonable efforts to communicate material changes.

7. Third-Party Services

The NeoTrade AI Box integrates with third-party cryptocurrency exchanges via their public APIs. NeotradeAI LLC is not affiliated with, endorsed by, or responsible for Binance, Coinbase, Kraken, or any other exchange. Exchange availability, API terms, and fee structures are subject to change without notice. NeotradeAI LLC is not liable for losses resulting from exchange outages, API changes, account restrictions, or exchange insolvency.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEOTRADE AI LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, LOSS OF DATA, LOSS OF TRADING CAPITAL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE NEOTRADE AI BOX, THE SOFTWARE, OR THE AGENT OUTPUTS, EVEN IF NEOTRADE AI LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL NEOTRADE AI LLC'S TOTAL LIABILITY EXCEED THE PURCHASE PRICE YOU PAID FOR THE HARDWARE.

9. Indemnification

You agree to indemnify and hold harmless NeotradeAI LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in connection with your use of the Product, your violation of these Terms, or your violation of any applicable law or regulation.

10. Prohibited Uses

You may not use the Product to:

• Engage in market manipulation or other illegal trading activity
• Violate any applicable securities, commodities, or financial services laws
• Circumvent exchange terms of service or API rate limits in unauthorized ways
• Operate in jurisdictions where cryptocurrency trading is prohibited

11. Regulatory Compliance

It is your sole responsibility to ensure that your use of the Product and any trading activity complies with the laws and regulations of your jurisdiction. NeotradeAI LLC does not offer services in jurisdictions where autonomous crypto trading tools are prohibited.

12. Governing Law & Dispute Resolution

These Terms shall be governed by the laws of the State of [State TBD], without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved through binding arbitration in [City, State TBD], except that either party may seek injunctive relief in a court of competent jurisdiction.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via the website or email. Continued use of the Product after changes constitutes acceptance of the revised Terms.
